The President and the Executive Board

ALROSA’s day-to-day operations are run by the President (an individual executive body) and the Executive Board (a collegiate executive body). The remit of the Company’s executive bodies (the President and the Executive board) include all issues relating to the management of the Company’s day-to-day operations, except for those issues that fall within the remit of the General Meeting of shareholders and the Company’s Supervisory Board. The Company’s executive bodies act in OJSC ALROSA’s interests and report to the Supervisory Board and the General Meeting of shareholders. The main objective of the President and the Executive Board is to organise the Company’s day-to-day operations in accordance with the decisions taken by General Meetings of shareholders and the Supervisory Board.

ANDREEV, Fedor Borisovich

Born: 1966.

Mr Andreev has OJSC ALROSA since 2009.

Between 2005 and 2009, Mr Andreev was senior Vice-president of OJSC Russian Railways, where he was responsible for the Company’s economic and financial policy. Between 2003 and 2005, he was Vice-president of OJSC Russian Railways. Between 2002 and 2003, Mr Andreev was First Vice-president of OJSC ALROSA, where he was in charge of financial and economic issues. Between 1999 and 2001, he served as Chief executive of OAO BaltoneximBank. Between 1997 and 1999, he was Deputy Chief executive of OJSC Baltoneximbank. Between 1992 and 1996, Mr Andreev worked at the St. Petersburg branch of Tveruniversalbank as an economist in the fund department, senior economist in the securities department, head of the liabilities management department and director. In 1991 and 1992 he was leading specialist and Chief specialist in the marketing and development department of the Tver-based commercial trading and industrial company Tverkommertsiya Ltd. From 1989 to 1991, Mr Andreev worked as an economist and then leading economist in the department of finance and lending at the Tver commercial bank.

Born: 1969.

First Vice-president and Executive Director of OJSC ALROSA since 1 January 2012. In 2007, Mr Sobolev was appointed to run ALROSA’s capital construction department. In 2000, he was appointed Head of the capital construction department in the mining and metallurgy directorate at OJSC Norilsk Nickel’s Zapolyarny branch. Between 1993 and 2000, he worked as a shotfirer at the Norilsk Mining and Smelting Works and as Deputy Chief engineer at the Norilsk Mining Construction Trust. Between 1987 and 1992, he worked in coalmines in Tula Region, in the town of Novomoskovsk.

Graduated from the Tula State Technical University in 1993, specialising in mining construction engineering and mining and underground construction.

 RYASHCHIN, Ilya Petrovich

Born: 1973.

First vice-president of OJSC ALROSA and in charge of the Company’s financial and economic operations since 9 June 2012. Between 2003 and 2012, he was Deputy Head and First Deputy Head of the financial management department and the corporate finance department and Head of the planning and budget department at OJSC Russian Railways. In 2001, Mr Ryashchin was appointed Deputy Head of the finance department at the Russian Railways Ministry. Between 1998 and 2001, he worked as Deputy Head of the tax service and first deputy head of the financial service at the Gorkovsky railways directorate. Between 1994 and 1998, he worked as senior state tax inspector and Deputy Head of the State Tax Inspectorate’s department for Sovetsky District in Nihny Novgorod. Between 1990 and 1994, he worked as an economist in the statistics department at the Gorkovsky regional statistics directorate.

Graduated from the Lobachevsky Nihny Novgorod State University in 1996, specialising in finances and credit. Economist.

 PISMENNY, Andrey Vasilyevich —
Chief Engineer

Born: 1960.

Appointed ALROSA’s Chief engineer in December 2010. Between 2007 and 2010, he worked as Chief engineer and First Deputy director of ALROSA’s Yakutniproalmaz institute. In June 2003, he was appointed Chief engineer at the Mirny MPD. Between 1999 and 2001, he was Head of ALROSA’s Mirninsky specialised mining construction directorate, and between 2001 and 2003 he ran the Mirninsky specialised mining construction trust. Mr Pismenny has worked for ALROSA since 1997: he spent the first two years as Deputy Chief engineer for special operations at the Mirninsky specialised mining construction directorate, and Chief engineer at the Internatsionalny underground mine at the Mirny MPD. In 1980 and 1981, he was a trainee miner and then underground miner at the Gorlovsky mining construction directorate, between 1982 and 1992 he was a mine foreman at the Shakhtspetstroy trust’s Norilsk mining construction directorate, and between 1992 and 1997 he was Head of a skip shaft and then Chief engineer at the Shakhtspetstroy trust’s Norilsk mining construction directorate.

Graduated from the Plekhanov Mining Institute in Leningrad in 1982, specialising in the “construction of underground structures and mines”. Graduated from Irkutsk State Technical University in 2005, specialising in the “underground development of mineral fields”. Construction engineer, mining engineer.

 DEMYANOV, Ivan Kirillovich —
Vice-President

Born: 1942.

Since 1995, Vice-president of ALROSA and in charge of the Company’s social and human resources policy. Between 1993 and 1995, he was Director of AK Almazy Rossii — Sakha for human resources and social issues. Between 1991 and 1993, he was Deputy Director of AK Almazy Rossii — Sakha for human resources and social issues. Between 1984 and 1991, he was Head of the organisational department, second secretary and then first secretary of the Mirny town committee of the Communist Party of the Soviet Union. Between 1982 and 1984, he was Head of the of the Yakutalmaz group’s Mirninsky highways directorate. Between 1976 and 1984, Mr Demyanov was secretary of the party committee at a motor depot and then secretary of the party committee at the Yakutalmaz group’s Mirny mine. Between 1964 and 1976, he worked at the Yakutalmaz group and trust’s Mirninsky motor depot, where he started as a driver and rose to become Deputy Chief engineer for production.

Graduated from the Vilyuysky energy construction training college in 1971, specialising as a technician and mechanic, and graduated from the Khabarovsk Higher Party School in 1982.

 TKACHENKO, Vladimir Pavlovich —
Vice-President

Born: 1956.

Appointed ALROSA Vice-president on 1 July 2008. In 2007 and 2998, he worked as Director of the CSJC ALROSA Hotels. Between 2002 and 2007, he was Director of ALROSA’s inventory management. Between 1997 and 2002, he was head of the Mirny branch of ALROSA’s inventory management, and Deputy Director of ALROSA’s inventory management. Between 1993 and 1997, he worked as Head of auxiliary production and equipment at ALROSA’s Aikhal construction and installation trust. Between 1980 and 1993, he occupied various positions, from pit-hole miner to head of the mechanical repair workshops, at the Yakutsk geological directorate.

Graduated from the Odessa Technical College of Measurement in 1980. Graduated from the Plekhanov National Economy Institute in Moscow in 1987, specialising as a technology engineer. Graduated from the Russian Federation government’s National Economy Academy in 2002 (“Economics and Business Management” programme).

 OKOYEMOV, Yury Konstantinovich —
Vice-President

Born: 1962.

Appointed ALROSA Vice-president on 6 August 2009. Between 2000 and 2009, he was Chief executive of ALROSA’s combined sales agency. Between 1993 and 2000, he was first Deputy Director and then Director of ALROSA’s Yakutsk diamond trading company (YPTA). In 1992 and 1993, he was Head of the single crystal instrument sector and technical Director of JSC Sakha Diamond. Since 1992 he has worked as a specialist and then Chief specialist in JSC Tuymaada Diamond’s diamond instruments department. Mr Okoyemov began his career in 1985 as an intern researcher in the Institute of Physical and Technical Problems at the North Yakutsk branch of the Siberian section of the Academy of Sciences of the USSR, where he worked until 1992.

Graduated from a physics and mathematics school in the village of Verkhnevilyuysk in the Yakutian Autonomous Soviet Socialist Republic in 1979. Graduated from the Moscow State Steel and Alloys Institute in 1985, specialising in the “physics of metals”. Graduated from the Russian Federation Government’s National Economy Academy in 1996, earning the qualification of “top-quality manager”.

 KULICHIK, Igor Mikhailovich —

Born: 1967.

Vice-president and finance Director of ALROSA since 10 August 2009. Between 2006 and 2009, he was Chief treasurer and finance Director of ALROSA. Between 2002 and 2006, he was Head of finance at ALROSA. Between 1998 and 2002, he was President and Chief executive of the Reserve Funds Corporation Bank. Between 1996 and 1998, he worked as Deputy Chief executive of the Reserve Funds Corporation Bank. Between 1992 and 1996, he was an economist in the department of inter-bank payments, Head of the bank resources directorate, Head of finance and then Deputy Director of Tveruniversalbank. In 1992, he was a junior researcher at the Russian Emergencies Ministry’s Institute of Civil Defence.

Graduated from Moscow’s Ordzhonikidze Aviation Institute in 1990, specialising in mechanical engineering. Graduated from the Zhukovsky Military Aviation Engineering Academy in 1992, specialising in mathematical engineering.

 PUSHKIN, Sergey Nikolaevich —

Born: 1967.

Appointed Vice-president of ALROSA on 25 January 2010, oversees the activities of subsidiaries and affiliates, as well as the development of the Company’s projects in Africa. Between 2004 and 2009, he was President of OJSC TransCreditBank. In 2003 and 2004, he was Head of the finance department at OJSC Russian Railways. From 2001 to August 2002, he was Vice-president and Head of regional development at OJSC Petrocommerce Bank. Between 1997 and 2001, he was Chief executive of OJSC Komiregionbank Ukhtabank in the Republic of Komi. In 1996 and 1997, Mr Pushkin, was Deputy Head of the directorate for methodology and monitoring of regional banks at Onexim Bank. Between 1992 and 1996, he worked at Tveruniversalbank as Head of the department of inter-bank accounts at the bank’s Moscow branch, Director of the inter-bank payment centre and Director of the department of payments and trading transactions.

Graduated from the Faculty of Aerodynamics and Aviation Engineering at the Moscow Institute of Physics and Technology in 1990. In 1990-1992, studied at the Faculty of Aircraft and Engines at the Zhukovsky Military Engineering Academy.

Vice-president of ALROSA since 22 December 2009, responsible for cooperation with the state authorities and licensing activity. From 15 March 2007 to 19 December 2009, he was first Deputy Prime Minister of the government of Sakha Republic (Yakutia). Between 2002 and 2007, he was Deputy Prime Minister of the government of Sakha Republic (Yakutia). Between 1998 and January 2002, he was first Deputy Head of the Mirny District in Sakha Republic (Yakutia). Between 1986 and 1990, Mr Grabtsevich was involved in building energy facilities in Cuba. Between 1976 and 1998, he worked for the VilyuyGESstroy directorate and Yakutalmaz group, as senior engineer and then Chief engineer in VilyuyGESstroy’s construction department, Deputy Head of Mirnyenergopromstroy’s construction department, and Deputy Head and Chief engineer of the Mirny construction and installation trust in ALROSA’s capital construction department.

Graduated from the Tomsk Construction Engineering Institute in 1972, specialising in construction engineering. Graduated from the Russian Federation Government’s National Economy Academy in 1998. A top-rated manager.

A member of the Institute of Professional Accountants since 1998, and a member of the Russian Chamber of Auditors since 2010. Between 2002 and 2011, she was manager of the accounting services department at Ernst and Young BV in Moscow. Between 1994 and 2002, she was Chief expert in the accounting services department at Arthur Andersen International. In 1993 and 1994, Ms Timonina was Deputy Chief account at AFK Sistema.

Graduated from the Faculty of Economics at the Lomonosov Moscow State University in 1983, specialising in accountancy.

 SEROV, Valery Petrovich —
Chief Geologist

Appointed ALROSA’s Chief geologist in February 2011. He has been Chief geologist for the Amakinskaya geological survey since 1994. In 1993 and 1994, Mr Serov was senior geologist at the Yubileyny quarry at the Aikhal MPD. Between 1980 and 1993, he was geologist, senior geologist and Chief geologist in the Aikhal geological survey’s Verkhnee-Alakitsky team. In 1974 and 1975, he was a collector for the office of the Chief geologist at the Kalush chemicals and metallurgy plant.

Graduated from the Moscow Geological Prospecting Institute in 1980, specialising in “the geological surveying, searching and exploration of mineral fields”.

 VOYAN, Dmitry Arturovich —
Head of the Strategic Planning and Budget Department

Appointed Head of ALROSA’s strategic planning and budget department in April 2011. Between 2003 and 2011, he was Head of ALROSA’s economic planning department. Between 1998 and 2003, he was Deputy manager for economics at ALROSA’s Almaztekhmontazh trust, and Deputy Head of ALROSA’s staff and payroll department. Between 1996 and 1998, Mr Voyan was Director of finance at OJSC Vostoktekhmontazh. Between 1989 and 1996, he was Head of the economic planning department of the Mirny directorate of the Montazhspetstroy corporation’s Vostoktekhmontazh, Deputy Chief executive for finance, economics and investment and Chief accountant at OJSC Vostoktekhmontazh in the town of Mirny. Between 1980 and 1982, he worked at the Ordzhonikidze Baltic Plant in Leningrad and served in the Soviet army.

Graduated from the Krasnoyarsk Institute of Soviet Trade as well as the Russian Federation Government’s National Economy Academy. Economist. Ph.D. in Economics.

Director of ALROSA’s Nyurba MPD since May 2011. In 2010 and 2011, he was ALROSA’s Deputy Chief engineer for production. Between 2008 and 2010, he was ALROSA’s Deputy Executive Director for production, and then ALROSA’s Deputy Chief Engineer. In 2007 he was appointed head of the Yubileyny quarry. Between 2001 and 2007, Mr Uvarov worked as Chief engineer at the Yubileyny and Komsomolsky quarries at the Aikhal MPD. Between 1991 and 2001, he was mine foreman at the Yubileyny quarry at the Aikhal MPD. Between 1989 and 1991, he was a shovelman’s assistant at the Aikhal MPD. Between 1981 and 1984, he worked in a geochemicals team at the Yakutskgeologiya production association, and trained as a construction electrician at the Sibtsvetmetalavtomatika scientific production association.

Graduated from Irkutsk Polytechnic Institute in 1991. Graduated from the St. Petersburg Institute of Accelerated Management Learning in 2004. Graduated from Irkutsk State Technical University in 2010. Mining engineer. An economist and a manager.

 MAKHRACHEV, Alexandr Fedorovich —

Born: 1956.

Director of the Udachny MPD since 2008. In 2005, he was appointed ALROSA’s Deputy Executive Director for production. Between 1997 and 2005, Mr Makhrachev was ALROSA’s Deputy Chief mineral engineer and then mineral engineer. Between 1979 and 1997, he worked at the Udachny MPD as a mechanic, a mine foreman, a process engineer and a senior process engineer.

Graduated from the Moscow Steel and Alloys Institute in 1979, specialising in metallurgy engineering. Upgraded his qualification in 1996 after completing the “Managing a mining business in a market environment” programme at the Russian Federation Government’s National Economy Academy. Graduated from the Moscow State Mining University in 1997, specialising in mining engineering.

Between 1998 and 2007, he was Deputy Director of ALROSA’s capital construction department for economic issues, the department’s chief engineer and then Director of the department. Between 1985 and 1998, Mr Chaadaev worked at the Udachny MPD run by the Yakutalmaz scientific production association and ALROSA, first as senior mechanic in the production department at the Yubileyny mine, then as Deputy Head of the production department at the mine and then the mine’s chief engineer.

Graduated from Tyumen Construction Engineering Institute in 1982, specialising in construction engineering and industrial and civilian construction. Graduated from the Russian Federation Government’s Academy of Finance in 2001, specialising in finance and credit. Ph.D. in Economics.

Between 2003 and 2011, Mr Lopatinsky worked as Deputy Head of the department for open-pit mining in ALROSA’s production control directorate, and subsequently its mining directorate. Between 1992 and 2003, he worked in various positions, from a shovelman’s assistant to mine foreman and Head of a blast area at the Udachny MPD.

Graduated from Irkutsk Polytechnic Institute in 1993, specialising in “the technology and integrated mechanisation of the open development of mineral fields”.

 KORNILOV, Valery Stepanovich —
Director of the Capital Construction Department

Born: 1957.

Chief engineer and then Director of ALROSA’s capital construction department since 2003. A distinguished employee of ALROSA, a distinguished builder of the Russian Federation, winner of a Sakha Republic (Yakutia) State Prize in 2008. Between 1996 and 2003, Mr Kornilov ran ALROSA’s specialised Almaztekhmontazh trust. Between 1990 and 1996, he worked on sites in Mirny, Krymsk, Aikhal in various positions, from senior General foreman to technical Director, in the Vostoktekhmontazh production construction and installation department. Between 1982 and 1990, he worked in various positions, from mine foreman to Deputy Head for production at the Severovostokkhimmontazh second Yakutsk installation directorate in the town of Udachny.

Graduated from the Cheboksary chemicals and mechanics technical college in 1977, specialising in “the technology of organic dyes and by-products”. Graduated from the Northwestern State Service Academy in St. Petersburg in 2002, specialising in state and municipal administration.

 YUZMUKHAMETOV, Rishat Nurgaliyevich —
Chairman of the Profalmaz trade union

Appointed: 20.07.2009

Born: 1969.

Chairman of Profalmaz, the inter-regional trade union of employees of OJSC ALROSA, since 2009. Has won awards: Certificate of Merit from the President of Sakha Republic (Yakutia), a Statement of Gratitude from the President of Sakha Republic (Yakutia), a Certificate of Merit from the Ministry of Labour and Social Development, a lapel bade from the Federation of Trade Unions of Sakha Republic (Yakutia) “For a contribution to the development of Yakutia’s trade union movement”, a major literary prize from the Russian Federation. Between 2007 and 2009, he was Head of OJSC ALROSA’s social development department. Between 2004 and 2007, he was First Deputy Head of Mirny District for social issues. Between 1996 and 2004, Mr Yuzmukhametov was press secretary and head of the social department at the Udachny MPD. Between 1991 and 1995, he worked as a correspondent for the newspaper Mirninsky Rabochy. In 1990, he started working for the Yakutalmaz scientific production association as an exempted Deputy secretary of the Komsomol committee at the Udachny MPD.

Graduated from the Far Eastern State University in 1996, specialising in the teaching of history. Graduated from the Academy of Labour and Social Relations in 2004, specialising in social management. Graduated from the Russian president’s academy for the national economy and state service in 2012, specialising in state and municipal administration, Master of Public Administration (MPA). Ph.D. in History.

The Chairman of the Executive Board and Company President is remunerated on the basis of the Rules and Regulations governing the remuneration of OJSC ALROSA’s president, as approved by the Company’s Supervisory Board on 18.05.2012 (protocol no 181), and receives payment for achieving company targets and the principal key indicators of the effectiveness of the Company’s production and economic activities in the reporting period (quarter), on an accrual basis.

Members of the Company’s Executive Board are remunerated in accordance with the Rules and Regulations governing the remuneration of members of OJSC ALROSA’s Executive Board, as approved by the Company’s Supervisory Board on 18.05.2012 (protocol no 181), and receive payment for achieving, within the reporting period, individual targets and the principal key indicators of the effectiveness of the Company’s production and economic activities. Members of the Company’s Executive board received remuneration totalling RUB 831,824 million in 2012.
